Threads Subscription Agreement

Version 2.0

JPY Ltd (The Threads Supplier) has developed the Threads software service (Threads Service) and agrees to make it available to companies or organisations via the internet subject to the terms and conditions of this agreement.

Subscribers, administrators and users

A company or organisation registering an account with Threads is known as the Subscriber. The person registering Threads on behalf of a Subscriber is known as the Administrator. Individuals authorised by the Administrator to use Threads are known as Users.

Each User will have a secure password for his use of Threads and is required to keep his password confidential.

Subscription Fees

If the Subscriber chooses a paid subscription, the Subscriber will be billed monthly in arrears. The subscription will be tiered according to the storage limit required by the subscriber. These are shown in the Threads Pricing webpage.

The Threads Supplier reserves the right to amend its fees but will ensure that the Administrator is notified of any changes by writing in advance.

Storage Limits

The storage limit refers to the total storage required by the subscriber to store all messages (such as emails and telephone recordings) and other records (such as contact and project data). 

When the Subscriber reaches 70%, 80% and 90% of the storage limit of their subscription, then the Administrator will be advised immediately by email. 

When the Subscriber reaches 110% of their storage limit, then message ingestion will stop until either the subscription plan is changed or data is deleted to below 100% of the storage limit.

Termination and Suspension

The Subscriber may cancel the subscription at any time but the subscription will only expire at the end of the month in which it is cancelled.

The Threads Supplier reserves the right to suspend or end its services to all or some subscribers at any time without notice.

No refunds will be issued upon cancellation by a Subscriber of a paid subscription.

Subscriber data

The Subscriber shall own all rights to its data (Subscriber Data) and shall have sole responsibility for the legality, reliability, integrity, accuracy and quality of the Data.

The Subscriber understands that Threads is not a backup service and whilst the Threads Service is designed to ensure against data loss, the Subscriber shall be solely responsible for backing-up all Subscriber Data (including messages, contacts, companies and projects)  independently of the Threads Service.

Subscriber Data will not be shared with any third party

Subscriber Data is stored using Amazon Web Services (AWS) and is stored subject to AWS privacy - http://aws.amazon.com/privacy

Warranties

Threads is provided on an “as is” basis and no warranty is given that the Subscriber's use of Threads will be uninterrupted or error-free; or that Threads will meet the Customer's requirements.

The Threads Supplier is not responsible for any delays, delivery failures, or any other loss or damage resulting from the transfer of data over communications networks and facilities, including the internet, and the Subscriber acknowledges that Threads Service may be subject to limitations, delays and other problems inherent in the use of such communications facilities.

Limitation of liability

In the event of any loss or damage to the Subscriber as a result of its use of the Threads Service,  the Threads Supplier liability shall be limited to the subscription fees charged for the Service.

Disputes and Governing Law

Any disputes or claim relating to the use of the Threads Service shall be governed by and construed in accordance with the laws of England and Wales.
